{"id":11994,"date":"2025-01-06T15:02:25","date_gmt":"2025-01-06T15:02:25","guid":{"rendered":"https:\/\/dailywashingtoninsider.com\/index.php\/2025\/01\/06\/us-steel-and-nippon-sue-biden-administration-steelworkers-union-and-cleveland-cliffs-over-their-blocked-merger\/"},"modified":"2025-01-06T15:02:25","modified_gmt":"2025-01-06T15:02:25","slug":"us-steel-and-nippon-sue-biden-administration-steelworkers-union-and-cleveland-cliffs-over-their-blocked-merger","status":"publish","type":"post","link":"https:\/\/dailywashingtoninsider.com\/index.php\/2025\/01\/06\/us-steel-and-nippon-sue-biden-administration-steelworkers-union-and-cleveland-cliffs-over-their-blocked-merger\/","title":{"rendered":"US Steel and Nippon sue Biden administration, Steelworkers union and Cleveland-Cliffs over their blocked merger"},"content":{"rendered":"<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l1g3yg008u2cp21uxz3zk4@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            US Steel and Nippon, whose $14.3 billion merger was blocked by President Joe Biden last week, filed a lawsuit against the US government Monday, claiming Biden\u2019s executive order to bar the companies from combining was signed for \u201cpurely political reasons.\u201d    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l1g6z10000356ml8hkf6oz@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            \u201cToday\u2019s legal actions demonstrate Nippon Steel\u2019s and US Steel\u2019s continued commitment to completing the transaction \u2014 despite political interference,\u201d the companies said in a statement.    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l1thbg00003b6ms3ggmma6@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            The suit is no surprise. The day Biden issued an order blocking the deal, the companies called the action \u201ca clear violation of due process\u201d and said they had \u201cno choice but to take all appropriate action to protect our legal rights.\u201d    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l1u5uj00043b6mruzga3sy@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            Biden had spoken for months about his opposition to the deal. The companies said that Biden had \u201cignored the rule of law to gain favor with \u2026 (the United Steelworkers union) and support his political agenda.\u201d    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l1u5uj00063b6mm2debsi1@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            In addition to the suit seeking to throw out Biden\u2019s order, the companies filed a separate suit against Lourenco Goncalves, CEO of rival steelmaker Cleveland-Cliffs and Dave McCall, president of the United Steelworkers union, for their actions to try to block the deal, which the suit charges are \u201canticompetitive and racketeering activities illegally designed to prevent any party other than Cliffs from acquiring US Steel as part of an illegal campaign to monopolize critical domestic steel markets.\u201d    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l1uwrb00083b6m015m856t@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            In addition to seeking to block Cliffs and the USW from acting together, that separate lawsuit seeks \u201csubstantial monetary damages for their conduct.\u201d    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l1u51500023b6mfk7c4rla@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            Neither the White House, Cleveland-Cliffs, nor the USW had an immediate response to the lawsuits.    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l2ihqt000e3b6mg4hz7htv@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            In August 2023, US Steel announced it had received multiple offers to buy the company and that it would weigh the offers. It confirmed that one of the offers was from Cleveland-Cliffs, which had already passed US Steel to become the second-largest American steelmaker behind mini-mill operator Nucor, but that those talks had broken down.    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l2r13u000k3b6mztjgmtq4@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            The Cleveland-Cliffs offer at that time was worth about $7.3 billion in cash and stock, or about half what Nippon would eventually offer when it reached the agreement to buy US Steel in December 2024. But as a unionized steelmaker, Cleveland-Cliffs had the support of the USW in its bid.    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l2r369000o3b6mfaejizt2@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            Last summer, US Steel announced that without the investment in its older, union-represented mills promised by Nippon Steel as part of the deal, it might be forced to close the mills. In response, Cleveland-Cliffs said it would be willing to buy those mills.    <\/p>\n<p class=\"paragraph inline-placeholder vossi-paragraph\" data-uri=\"cms.cnn.com\/_components\/paragraph\/instances\/cm5l2ut6m000r3b6mzn2t0o0t@published\" data-editable=\"text\" data-component-name=\"paragraph\" data-article-gutter=\"true\">            The opposition to Nippon Steel buying US Steel has been bipartisan, with Vice President-elect JD Vance an early opponent of the deal.
